These Terms of Service (the "Terms") are a binding agreement between you and Marco Restifo Pecorella, VAT IT04932430277, Calle Rovereto 10, Venezia, Italy, the sole proprietor who operates the Cremisi platform ("Cremisi", "we", "us", or "our"). They govern your access to and use of the Cremisi website at https://cremisi.eu, the Cremisi web application, the hosted Model Context Protocol ("MCP") server, and any related services (together, the "Service").
By creating an account, ticking the acceptance box at sign-up, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization. The organization is responsible for the use of the Service by everyone it invites into its workspaces, including employees, contractors, clients, and any AI agents it connects.
1. Definitions
- "Workspace" means an organization space in Cremisi that holds projects, tasks, documents, events, and members. Every account owns at least one personal Workspace and may be invited to others.
- "Owner" means the member who created a Workspace or was later given the owner role. "Member" means any person with access to a Workspace, whatever their role (owner, editor, viewer, or client).
- "Customer Content" means everything you or your Members submit to the Service: tasks, comments, documents and attachments, messages, calendar events, design canvases and generated designs, repository references, profile details, and anything else stored in a Workspace.
- "Agent" means any software that accesses the Service on your behalf through an API key, including AI assistants such as Claude or Cursor connected over MCP.
- "API Key" means a secret credential (prefixed "cm_") that you create in the Service and that lets an Agent act with your permissions.
- "Output" means content generated by an AI feature of the Service, such as a design mockup produced from a prompt.
2. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to use the Service. The Service is intended for professional and business use.
You must register with accurate information and keep it current. Each account belongs to one human being. Agents do not get accounts; they act through API Keys that are tied to your account.
You are responsible for everything that happens under your account and your API Keys. Keep your password and keys confidential, enable multi-factor authentication when it is available to you, and tell us right away at support@cremisi.eu if you suspect unauthorized access.
New accounts may be placed in a pending state until they are approved by a Workspace Owner who invited you or by us. We may decline or delay approval at our discretion, for example to prevent abuse.
3. Workspaces, roles, and administrators
Workspace Owners control the Workspace. They can invite and remove Members, assign roles, see and manage all Customer Content in the Workspace, connect integrations, and change settings. If you join a Workspace owned by someone else, that Owner, not you, decides what happens to the content in it, including after you leave.
When an Owner invites you by email and you sign up with that address, you automatically join their Workspace with the role they chose. Your personal profile (name, picture, role, position, timezone, and online status) is visible to the other Members of every Workspace you belong to.
Members with the client role see a reduced view of the Service intended for external stakeholders. Owners are responsible for granting the client role appropriately and for what client Members can see.
4. Customer Content
4.1 You own it
You and your organization retain all rights in Customer Content. We claim no ownership. You are solely responsible for Customer Content and for having the rights and permissions needed to submit it, including any personal data about other people that it contains.
4.2 The license you give us
So that we can run the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, index, and process Customer Content, and to make incidental copies such as backups, solely as needed to provide, secure, support, and improve the Service as described in these Terms and the Privacy Policy. This license ends when the content is deleted from our systems, subject to the retention periods described in Section 13.
4.3 Sharing inside and outside a Workspace
Customer Content is visible to the Members of the Workspace it belongs to, according to their roles. Some content is also reachable by link: files attached to team chat messages and profile pictures are served from addresses that do not require signing in, so anyone who has such a link can open the file. Do not attach material to chat that must remain strictly confidential.
4.4 No model training
We do not use Customer Content to train artificial-intelligence models, and we contractually prohibit our AI providers from doing so with the data we send them.
4.5 Backups are your job too
We take reasonable steps to protect Customer Content, but the Service is not a backup or archival service. Keep copies of anything you cannot afford to lose.
5. AI agents and the MCP server
The Service lets you create API Keys and connect Agents to a hosted MCP server. When an Agent calls the Service with your API Key, it can do what you can do: read your Workspaces, create and update tasks, post comments, look up Members, and more. Every action an Agent takes with your key is treated as your action under these Terms.
- Keep API Keys secret. Do not commit them to repositories, paste them in shared chats, or embed them in software you distribute. We store only a hash of each key and cannot recover a lost one; create a new key instead.
- Revoke keys you no longer use, and rotate them immediately if a device or integration that held them is lost, sold, or compromised.
- You are responsible for configuring your Agents so that they act within your organization's policies. Review what an Agent does, especially when it modifies or assigns work to other people.
- We may apply rate limits, restrict specific tools, or suspend a key that is abusive, compromised, or generating unusual load.
- Third-party agent software (for example Claude, Cursor, or any other MCP client) is governed by its own terms and privacy policies, not ours.
6. AI design generation and other AI features
Some features send text you provide, such as a design brief, to a third-party AI provider (currently Anthropic) and return generated Output. Output is produced by a statistical model and may be inaccurate, incomplete, or similar to Output produced for others. You are responsible for reviewing Output before relying on or publishing it.
As between you and us, you own the Output you generate, to the extent permitted by law. You may not represent Output as having been produced by a human when that is material to the recipient, and you may not use AI features to generate content that violates Section 8.
Do not include secrets, credentials, payment card numbers, health data, or other sensitive personal data in prompts. Prompts and Output are processed as described in the Privacy Policy.
7. Third-party integrations
The Service integrates with services operated by others, including GitHub (repository commits, branches, issues, and workflow dispatch), Agora (real-time audio and video for calls), and Anthropic (AI design generation). Integrations are provided for your convenience. We do not control third-party services, are not responsible for them, and your use of them is subject to their terms. If you connect a repository or other third-party resource to a Workspace, you confirm that you are allowed to do so and that its contents may be shown to the Members of that Workspace.
8. Acceptable use
You agree not to, and not to allow any Member or Agent to:
- Break the law, infringe anyone's intellectual property, privacy, or other rights, or upload content that is defamatory, harassing, hateful, sexually explicit, or that promotes violence.
- Upload malware, or probe, scan, or test the vulnerability of the Service or any related system without our written permission.
- Access the Service through automated means other than the documented MCP tools and APIs, or circumvent rate limits, access controls, or Workspace isolation.
- Share, sell, or transfer accounts or API Keys, or use another person's credentials.
- Use the Service to build a competing product, or copy, reverse-engineer, or extract its source code except where the law gives you that right.
- Send unsolicited messages or invitations through the Service, or impersonate any person or organization.
- Use the Service to make automated decisions that produce legal or similarly significant effects on individuals without appropriate human review.
- Resell or provide the Service to third parties on a service-bureau basis without our written agreement.
We may investigate suspected violations and may remove content, suspend keys, or suspend or terminate accounts, with or without notice, where we reasonably believe these Terms have been breached.
9. Plans, fees, and trials
Cremisi is offered on the paid plans published at https://cremisi.eu/#pricing and summarized below. Prices are in euros and exclude VAT, which is added at the rate applicable to you. Yearly billing is charged up front for twelve months at the discounted monthly rate shown.
- Solo: €9 per month billed monthly, or €7.5 per month billed yearly. For solo entrepreneurs and freelancers running their own agents.
- Teams: €14 per member per month billed monthly, or €11.5 per member per month billed yearly. For teams that put people, clients, and agents on the same board.
Every new Workspace starts with a 14-day free trial of the plan you choose. You will not be charged during the trial, and a trial converts to a paid subscription only when you enter a payment method and confirm the plan. Until billing is enabled in your Workspace, you may continue to use the Service on the terms of your trial.
Subscriptions renew automatically at the end of each billing period, monthly or yearly, until you cancel. You can cancel at any time from your Workspace settings; the cancellation takes effect at the end of the current period and you keep access until then. Adding members to a Teams Workspace is charged pro rata for the remainder of the current period; removing members reduces the next invoice.
Fees are non-refundable except where these Terms or applicable law require otherwise. If you are a consumer residing in the European Union, you have a statutory right to withdraw from a purchase within 14 days; by starting to use a paid plan during that period you request immediate performance and acknowledge that the withdrawal right is lost once the Service has been fully performed, and that a proportional amount is due for the period of use before withdrawal.
We may change prices or plan limits with at least 30 days' notice by email or in the Service. Changes apply from your next renewal after the notice period; if you do not agree, cancel before that renewal. Beta features may be offered free of charge, may change or disappear without notice, and may have reduced support and security commitments.
10. Our intellectual property and feedback
The Service, including its software, design, documentation, trademarks, and all content we provide (but excluding Customer Content and Output), is owned by Marco Restifo Pecorella and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No other rights are granted.
If you send us suggestions, ideas, or other feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you. We will not identify you as the source without your permission.
11. Privacy and data protection
Our Privacy Policy explains what personal data we collect, how we use it, and your rights. When we process personal data contained in Customer Content on behalf of a Workspace, the Workspace Owner (or their organization) is the data controller and we act as processor on their documented instructions, which are these Terms and the Owner's use of the Service. Owners are responsible for having a lawful basis to put personal data about others into the Service and for honoring data-subject requests about that data. If you need a separate data processing agreement, contact us at support@cremisi.eu.
12. Confidentiality
We treat Customer Content as your confidential information. We will not disclose it except to our service providers bound by confidentiality obligations, as required by law (in which case we will notify you if legally allowed), or as you direct, including through Workspace sharing, integrations, and Agents. Non-public information about the Service, such as unreleased features and pricing, is our confidential information.
13. Term, suspension, and termination
13.1 By you
You may stop using the Service at any time and may delete your account from Profile → Danger Zone. Deleting your account removes your profile and your personal Workspace. Content you contributed to Workspaces owned by others stays with those Workspaces under their Owner's control.
13.2 By us
We may suspend or terminate your access, or a specific Workspace or API Key, if you materially breach these Terms, if required by law, if your account has been inactive for more than 12 months (after reasonable notice), or if we discontinue the Service. We will give at least 60 days' notice before discontinuing the Service except where a shorter period is required by law or to address a security risk.
13.3 Effect
Upon termination your right to use the Service ends. We will delete Customer Content in terminated accounts and Workspaces within 30 days, except that copies may remain in encrypted backups for up to 90 days and we may retain what the law requires us to keep. Sections that by their nature should survive (including 4.1, 6, 10, 15 to 18, and 20) survive termination.
14. Changes to the Service
We improve the Service continuously and may add, change, or remove features. If a change materially reduces core functionality you rely on, we will give you reasonable notice. We are not liable for modifications, suspensions, or discontinuations made in accordance with these Terms.
15. Disclaimers
THE SERVICE, ALL INTEGRATIONS, AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT OUTPUT WILL BE ACCURATE, OR THAT AGENTS WILL BEHAVE AS YOU INTEND. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MARCO RESTIFO PECORELLA AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD AND (B) ONE HUNDRED EUROS (EUR 100).
Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud or willful misconduct, or, for consumers, the statutory rights that your local law grants you.
17. Indemnification
If you use the Service on behalf of an organization, that organization will defend and indemnify Marco Restifo Pecorella and its officers, employees, and contractors against third-party claims, and the resulting damages, costs, and reasonable legal fees, to the extent arising from (a) Customer Content, (b) your or your Members' or Agents' use of the Service in breach of these Terms or the law, or (c) your integrations and third-party connections. We will notify you promptly of any claim and let you control the defense, provided you do not settle in a way that imposes obligations on us without our consent.
18. Governing law and disputes
These Terms are governed by the laws of Italy, without regard to conflict-of-law rules. Before starting formal proceedings, you agree to contact us at support@cremisi.eu and to try in good faith to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the courts of Venice, Italy, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
If you are a consumer residing in the European Union, you also benefit from the mandatory provisions of the law of your country of residence and may bring proceedings in its courts. The European Commission's online dispute resolution platform is available at https://ec.europa.eu/consumers/odr.
19. Changes to these Terms
We may update these Terms from time to time. For material changes we will notify you at least 14 days before they take effect, by email to the address on your account or by a notice in the Service, and we will update the date at the top of this page. If you keep using the Service after the new Terms take effect, you accept them. If you do not agree, stop using the Service and delete your account before the effective date. Changes required by law or that address a security issue may take effect immediately.
20. General
- Entire agreement. These Terms, the Privacy Policy, and any order or data processing agreement you sign with us form the entire agreement between us about the Service and supersede prior agreements. In case of conflict, a signed agreement prevails over these Terms.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or to a successor in a merger, acquisition, or sale of assets, and will notify you if we do.
- Severability and waiver. If a provision is unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages of third-party infrastructure, natural disasters, or acts of government.
- Notices. We send notices to the email address on your account. You send notices to us at support@cremisi.eu. Notices are effective when sent, provided the sender has no indication of delivery failure.
- Export and sanctions. You may not use the Service if you are located in, or a national of, a country or territory subject to comprehensive sanctions, or if you are on a restricted-party list.
- Language. These Terms are written in English. Any translation is provided for convenience and the English version controls.
